1. Definitions
In these Terms, the following definitions apply:
- "AmendCheck", "we", "us", "our" means the operator of the AmendCheck service, being the individual or entity that owns and operates the platform accessible at amendcheck.com and any successor domains.
- "Service" means the AmendCheck web-based application, including all features, functions, outputs, and reports provided through the platform.
- "User", "you", "your" means any individual or entity that accesses or uses the Service, whether registered or unregistered.
- "Document" means any PDF file, image file, or other content you upload to or process through the Service.
- "Amendment Check" means the automated process by which the Service compares an annotated original Document against an amended Document and generates a report.
- "Report" means the output generated by the Service following an Amendment Check, including any CSV export, PDF summary, or on-screen results.
- "AI Output" means any response, analysis, classification, or determination generated by or with the assistance of artificial intelligence or machine learning models used within the Service.
- "Confidential Document" means any Document that contains information that is proprietary, privileged, commercially sensitive, or otherwise confidential in nature.
2. Nature of the Service — What AmendCheck Is and Is Not
2.1 What AmendCheck does
AmendCheck is an AI-assisted document verification tool designed to help users identify whether annotations and amendment instructions in a marked-up document appear to have been applied in a revised version. The Service classifies annotations, compares document versions, and generates a Report indicating the apparent status of each identified change.
2.2 What AmendCheck does not do
The Service does not:
- provide legal advice, financial advice, tax advice, accounting advice, or any other form of professional advice;
- guarantee that every annotation, instruction, or amendment in any Document has been identified, correctly classified, or correctly assessed;
- replace the need for qualified professional review of any Document;
- certify, warrant, or attest to the accuracy, completeness, or correctness of any Document or any amended version thereof;
- detect fraud, forgery, or unauthorised alterations;
- provide a legally admissible record of document changes; or
- operate as an error-free system — AI models, including those used by AmendCheck, are known to produce inaccurate, incomplete, or inconsistent outputs.
2.3 Verification assistance only
The Report generated by AmendCheck is a verification-assistance output. It is not a final determination. Every Report produced by the Service must be reviewed by a qualified human professional before being acted upon. Users who are legal practitioners, accountants, auditors, or other regulated professionals remain solely responsible for compliance with their own professional obligations and standards.
3. Acceptance of Terms
By accessing, registering for, or using the Service, you represent and warrant that:
- you have read and understood these Terms in their entirety;
- you are at least 18 years of age and have legal capacity to enter into a binding agreement;
- if you are acting on behalf of a company or other legal entity, you have authority to bind that entity to these Terms; and
- your use of the Service will comply with all applicable laws and regulations, including those of Singapore and any jurisdiction in which your Documents originate or will be used.
4. Licence to Use the Service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business or personal purposes. This licence does not permit you to:
- resell, sublicence, or commercialise access to the Service to third parties without our prior written consent;
- copy, reverse engineer, decompile, or attempt to extract the source code of the Service;
- use the Service to build a competing product or service;
- use automated tools, bots, or scrapers to access or extract data from the Service; or
- use the Service in any way that is unlawful, harmful, or that violates these Terms.
5. Your Documents and Data
5.1 Ownership
You retain all ownership rights in the Documents you upload. By uploading a Document, you grant us a limited, non-exclusive, temporary licence to process that Document solely for the purpose of providing the Service to you.
5.2 Your responsibility for uploaded content
You represent and warrant that:
- you have all necessary rights, consents, and authorisations to upload each Document to the Service;
- uploading and processing the Document through the Service does not violate any applicable law, regulation, professional conduct rule, court order, confidentiality obligation, or third-party right;
- the Documents you upload do not contain malware, unlawful content, or material that infringes any intellectual property right; and
- if a Document contains personal data of third parties, you have satisfied all applicable data protection obligations before uploading it.
5.3 Sensitive and privileged documents
You are solely responsible for determining whether it is appropriate to upload any particular Document. If a Document is subject to legal professional privilege, attorney-client privilege, professional secrecy, regulatory confidentiality obligations, or any similar protection, you must obtain appropriate authorisation before uploading it. AmendCheck does not provide privileged communication, and uploading a privileged document to the Service may constitute a waiver of privilege depending on the law of your jurisdiction. You should obtain legal advice on this issue before uploading such documents.
5.4 Data retention
We do not permanently store your Documents after processing is complete. Documents are held in temporary server memory during processing and are not retained beyond the session or such short period as is technically necessary to complete the check. We do not use your Documents to train AI models. Our privacy practices are set out in our Privacy Policy, which forms part of these Terms.
6. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:
- any warranty that the Service will be uninterrupted, error-free, or free of harmful components;
- any warranty that AI Outputs will be accurate, complete, reliable, current, or fit for any particular purpose;
- any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement;
- any warranty that the Service will identify all amendments, annotations, or document changes; and
- any warranty that the Service is suitable for use in regulated or high-stakes professional environments without independent verification.
AI LIMITATIONS: You acknowledge that the AI technology used by the Service is subject to known limitations including hallucination, misclassification, and inconsistent outputs. The Service may incorrectly identify a change as addressed when it is not, or may miss changes entirely. AmendCheck's Reports are starting points for human review, not substitutes for it.
7. Limitation of Liability
7.1 Exclusion of certain losses
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR ANY:
- indirect, incidental, special, consequential, or punitive damages;
- loss of profits, revenue, business, goodwill, data, or anticipated savings;
- losses arising from reliance on any AI Output or Report generated by the Service;
- losses arising from a missed, incorrect, or incomplete amendment identification;
- losses arising from documents that are used in legal proceedings, regulatory submissions, financial reporting, or investor communications; or
- losses suffered by any third party who relies on the results of your use of the Service.
7.2 Cap on liability
To the extent that we have any liability to you that cannot be excluded under applicable law, our total aggregate liability to you in respect of all claims arising from or in connection with your use of the Service shall not exceed the greater of:
- the total amount paid by you to us in the 12 months immediately preceding the event giving rise to the claim; or
- SGD 100 (Singapore Dollars one hundred).
7.3 Essential basis of the bargain
You acknowledge that the limitations of liability set out in this clause 7 reflect a reasonable allocation of risk and are an essential element of the basis of the bargain between us, without which we would not provide the Service at the pricing offered.
8. Your Indemnity
You agree to indemnify, defend, and hold harmless AmendCheck and its officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- your use of the Service in breach of these Terms;
- your uploading of Documents that you did not have the right to upload;
- any reliance by you or any third party on a Report or AI Output produced by the Service;
- your breach of any applicable law or regulation; or
- any claim by a third party that your use of the Service has caused them loss.
9. Specific Provisions for Professional Users
If you are a legal practitioner, solicitor, barrister, notary, accountant, auditor, financial adviser, or other regulated professional, you additionally acknowledge and agree that:
- your professional obligations, including duties of care to clients, compliance with professional conduct rules, and confidentiality obligations, remain entirely your own and are not modified or satisfied by your use of the Service;
- the Service does not constitute professional peer review, independent verification, or quality assurance of the kind required by any professional standard or regulatory requirement;
- you will not represent to any client, counterparty, regulator, or court that any document has been verified, checked, or approved by AmendCheck in a manner that implies any degree of reliability, certification, or professional endorsement;
- you accept full professional responsibility for any use you make of the Service or any Report it produces; and
- before uploading any client document, you have considered whether your professional rules permit you to use third-party AI-assisted tools for that document and have obtained all necessary consents.
10. Acceptable Use
You must not use the Service to:
- process documents for which you do not have the legal right to disclose the content to a third-party service;
- process documents in connection with any fraudulent, unlawful, or deceptive activity;
- attempt to circumvent, reverse-engineer, or compromise the security of the Service;
- upload documents containing malware, harmful code, or content that is unlawful, defamatory, or offensive;
- use the Service in a manner that disrupts, burdens, or impairs its operation or the service to other users; or
- use any Report to misrepresent to any third party the status, accuracy, or completeness of any document.
11. Intellectual Property
All rights in the Service, including its software, algorithms, user interface, design, and methodology, are owned by us or our licensors. Nothing in these Terms transfers any intellectual property right to you. The AmendCheck name and branding are proprietary to us. You may not use our name or branding without prior written consent.
12. Modifications to the Service and These Terms
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice. We may update these Terms from time to time. Where changes are material, we will endeavour to provide reasonable notice (for example, by posting a notice on the Service). Your continued use of the Service after any updated Terms are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
13. Suspension and Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have breached these Terms or that your use of the Service poses a risk to us or other users. On termination, the licence granted to you under clause 4 will immediately end. Clauses that by their nature should survive termination (including clauses 6, 7, 8, 9, 14, and 15) shall continue in force.
14. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) are governed by the laws of Singapore. You and we agree to submit to the non-exclusive jurisdiction of the courts of Singapore. Before commencing any court proceedings, the party raising the dispute shall provide the other with written notice, and both parties shall endeavour in good faith to resolve the dispute within 30 days of that notice.
15. General Provisions
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us in relation to the Service and supersede all prior representations, agreements, or understandings.
- Severability: If any provision of these Terms is found to be unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.
- No waiver: Failure to enforce any provision of these Terms on any occasion does not waive our right to enforce it on a later occasion.
- No partnership or agency: Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between you and us.
- Assignment: You may not assign or transfer any right or obligation under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
- Force majeure: We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including failures of third-party AI providers, internet outages, or acts of God.
- Third-party AI providers: The Service uses AI models operated by third parties (including Anthropic, PBC). We are not liable for any failure, inaccuracy, or policy change by such providers that affects the Service.
